Terms of Service

1. Acceptance

By creating an account, accepting an invitation, or using AgencyGeo cards, wallets, or dashboards (the “Service”), you agree to these Terms on behalf of yourself and the workspace you operate. If you do not agree, do not use the Service.

2. Eligibility

The Service is offered to advertising agencies and businesses that fund and operate paid-media campaigns. You must be at least 18 years old, legally able to enter contracts, and pass our KYC / sanctions checks. We may decline or terminate accounts at our discretion to comply with applicable law (including U.S. sanctions, anti-money-laundering rules, and card-network rules).

3. Permitted use

AgencyGeo cards are issued for legitimate advertising spend (Meta, TikTok, Google, and similar platforms). You agree to use the Service only for lawful business purposes consistent with this purpose.

Absolutely prohibited

4. No refunds, reversals, or chargebacks

You may not, under any circumstance and by any means, cause funds spent on a card issued through AgencyGeo to be returned to the card. Specifically, the following are strictly forbidden:

  • Requesting a refund from the merchant (the ad platform or any other vendor) back to the card.
  • Triggering a transaction reversal with the merchant before settlement.
  • Filing a dispute or chargeback through the card network.
  • Any scheme to extract back, recover, double-claim, or otherwise “cheat” the cashback we paid on a transaction.

Consequences are automatic and immediate:

  • Your workspace is automatically banned the first time any refund-family event (refund, reversal, or dispute) is detected on any of your cards.
  • All cards are frozen — no further authorizations will succeed.
  • All pending cashback accruals are forfeited. You lose any cashback that has not yet been credited to your wallet at the time of the ban. Cashback already credited to your wallet before the ban remains in your wallet balance — but, like the rest of your balance, it cannot be spent or withdrawn (see next point).
  • Funds remaining in your wallet cannot be spent and cannot be withdrawn. The full balance — including any USDT that lands on your deposit addresses after the ban — is held while the incident is reviewed. Release is at our sole discretion and may be denied entirely where the conduct is fraudulent.
  • We may report the incident to the card network, our banking partners, and law enforcement as required.

Legitimate merchant-initiated refund? Rarely, an ad platform may auto-refund (e.g. for an undelivered campaign). Detection is automatic and we do not pre-screen for intent; if you believe a ban was triggered in error, contact support and we may, at our discretion, reinstate the workspace after manual review.

5. Other prohibited conduct

  • Using the Service for any illegal purpose, sanctioned counterparty, or money laundering.
  • Sharing credentials, bypassing authentication, or circumventing rate limits.
  • Reselling cards, lending the Service to a third party, or operating on behalf of an undisclosed principal.
  • Reverse-engineering, scraping, or probing the platform outside an authorized program.

6. Suspension & termination

We may suspend, freeze, or terminate any workspace at any time for breach of these Terms, regulatory reasons, or security incidents. Suspension actions taken automatically by our anti-fraud systems (including the refund / chargeback ban described above) are part of the Service and are not subject to advance notice.

7. Fees

Card setup, cashback tiers, and FX behaviour are described on the Pricing page. We may adjust fees with reasonable notice.

7.1 Repeated-decline fee

When a single card is declined several times in a row, each further declined transaction on that card may be charged a flat fee, deducted from your wallet balance. The number of consecutive declines allowed before the fee starts, and the amount of the fee, are shown live on your Fees & pricing page and may be adjusted with reasonable notice. The fee applies to all accounts on the Service.

  • A successful transaction resets the count. Any transaction on that card that is not declined returns its consecutive-decline count to zero, and the allowance starts again.
  • The reason for the decline does not matter. Once a card is past the allowance, each further declined transaction on it may be charged whatever caused the decline — including a card you have paused or closed, a spending limit you set, or a merchant or region rule on your card. A card that can no longer approve payments will keep being retried by the merchant, sometimes for hours; removing it from the merchant or service that is charging it is what stops both the declines and the fees.
  • One automatic exception. Declines that occur while your workspace is suspended or under review are never charged, since you cannot act on your cards during that time. They still appear as declined in your transaction history, without a fee.
  • Daily caps apply. The number of these fees that can be charged in a single day is capped, and a fee is never charged against money you do not have — so a run of declines cannot overdraw a wallet.

Every charge is itemised against the transaction that caused it in your transaction history, and appears in your wallet history. If you believe a fee was charged in error — including a decline you think was caused by a fault on our side — contact support: we can reverse it, and the reversal is shown against the same transaction.

8. Disclaimer & limitation of liability

The Service is provided “as is”. To the maximum extent permitted by law, AgencyGeo is not liable for indirect, incidental, or consequential damages. Final disclaimer and liability language is pending legal-counsel review.

9. Changes to these Terms

We may update these Terms. Material changes will be announced in-app or by email. Continued use of the Service after a change constitutes acceptance.
